Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Lot Flow mobile and web application (the “Service”), operated by Romeo Solution LLC (“Lot Flow,” “we,” “us”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

  • The Service is intended for authorized dealership and vendor personnel. You must be at least 18 years old.

  • Accounts are provisioned through invitation or registration. You are responsible for the accuracy of your account information.

  • You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2. Acceptable Use

​You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.

  • Access, or attempt to access, data belonging to dealerships, vendors, or users you are not authorized to access.

  • Probe, scan, or test the vulnerability of the Service, or breach its security or authentication measures, without authorization.

  • Interfere with or disrupt the integrity or performance of the Service.

  • Upload content that is unlawful, infringing, or that you do not have the right to upload.

3. Your Content

You retain ownership of the data and content you submit (such as vehicle records, work orders, and photos). You grant us a limited license to host, process, and display that content solely to operate and provide the Service to you and your organization. You are responsible for ensuring you have the rights to the content you submit.

4. Service Availability

We aim to keep the Service available and reliable, but we provide it on an “as is” and “as available” basis. We may modify, suspend, or discontinue features at any time. We are not liable for any unavailability or data loss to the extent permitted by law.

5. Limitation of Liability

​To the maximum extent permitted by applicable law, Romeo Solution LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us, if any, for the Service in the twelve months preceding the claim.

6. Termination

We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. You may stop using the Service and request account deletion at any time. Provisions that by their nature should survive termination (such as liability limitations) will survive.

7. Governing Law

These Terms are governed by the laws of the United States and the state in which Romeo Solution LLC is organized, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located there, unless applicable law requires otherwise.

8. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
